Ravichandra Hegde

Ravichandra is the Founding Partner of RHP Partners.

His practice covers diverse areas contentious and non-contentious issues relating to securities and regulatory, general corporate and commercial, and white-collar crimes.  

​

His experience in contentious matters includes representing clients in a number of high-stake, complex matters before the Supreme Court of India, various High Courts, Securities Appellate Tribunal (SAT), National Company Law Tribunals, Special Courts and tribunals. He regularly appears before the Securities & Exchange Board of India (SEBI) and the stock exchanges in matters pertaining to securities law and defending various intermediaries in the securities market. He regularly advises Foreign Portfolio Investors (FPIs), Venture Capital Funds, mutual funds, stock-brokers, stock exchanges and other securities market intermediaries and self-regulatory organisations.

Ravichandra appears before the NCLT and NCLAT in matters relating to the Insolvency and Bankruptcy as well as protection of the minority shareholders against oppression and mismanagement, sanction of schemes of arrangement between listed and unlisted companies, and compliances with mandatory public shareholding requirements etc.

He is also regularly engaged for matters involving white collar crimes, with appearances before the PMLA Tribunal, Special Courts, Enforcement Directorate, CBI Special Court and Sessions Courts. He has also conducted internal audits and forensic audits for clients.

On the non-contentious side, Ravichandra advises clients on issues pertaining to insider trading regulations, takeovers and private equity, listing regulations and on compliance issues. He has regularly assisted in drafting and vetting of internal mandatory codes and rules for listed entities, market intermediaries and professional bodies including the framework of compliance under the listing regulations and insider trading regulations. His team also assists regularly in drafting and vetting of contracts pertaining to market intermediaries.

Prior to setting up RHP, Ravichandra was a Founding Partner at Parinam Law Associates. He was also a Partner with J. Sagar Associates heading the Securities litigation and advisory team. He has also worked with AZB & Partners and was empanelled with SEBI prior to 2006. He is appointed as an Independent Member of the Grievance Redressal Committee of NSDL. Ravichandra obtained his degree in master of laws (LLM) from University of Mumbai and is registered with the Bar Council of Maharashtra and Goa.
